Agreement to Terms: By using the app, the user agrees to be bound by these terms and conditions. If the user does not agree to these terms and conditions, the user should not use the app.
User Representation and Warranties: The user represents and warrants that the user has the right, authority, and capacity to enter into these terms and conditions and to use the app in accordance with all terms and conditions herein.
User-Generated Content: The user acknowledges and agrees that any content submitted by the user to the app, including but not limited to text, photographs, and videos (collectively, “user content”), is the sole responsibility of the user and not of Vawsum. The user represents and warrants that the user owns or has the necessary licenses, rights, consents, and permissions to use and to authorize Vawsum to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all user content and that the user content does not infringe the rights of any third party.
User Content License: By submitting user content to the app, the user grants Vawsum a non-exclusive, transferable, sub-licensable, royalty-free, perpetual, irrevocable, and fully paid-up license to use, copy, display, distribute, modify, prepare derivative works based on, and otherwise exploit the user content in connection with the app and Vawsum’s (and its successors’ and assigns’) business, including without limitation for promoting and redistributing part or all of the app (and derivative works thereof) in any media formats and through any media channels.
Responsibility for User Content: The user is solely responsible for all user content submitted by the user to the app. School/Vawsum does not endorse any user content and shall have no obligation to monitor, remove, edit, or modify any user content. However, School/Vawsum reserves the right to remove any user content that violates these terms and conditions or is otherwise deemed inappropriate by School/Vawsum in its sole discretion.
User Conduct: The user agrees not to use the app for any illegal or unauthorized purpose, and to comply with all local, state, federal, and international laws, rules, and regulations. The user agrees not to use the app to transmit any material that is defamatory, obscene, pornographic, or offensive, or that promotes violence, hate speech, or discrimination. The user also agrees not to use the app to interfere with or disrupt the app or servers or networks connected to the app.
No Spamming: The user agrees not to use the app to transmit, distribute, post, or submit any spam, unsolicited messages, or other unwanted communications.
No Disruptions: The user agrees not to use the app in any manner that interferes with or disrupts the app or servers or networks connected to the app, or disobeys any requirements, procedures, policies, or regulations of networks connected to the app.
Proprietary Rights: The app and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Vawsum, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These terms and conditions permit the user to use the app for the user’s personal, non-commercial use only. The user agrees not to, directly or indirectly, modify, rent, lease, loan, sell, distribute, or create derivative works based on the app, in whole or in part, without the prior written consent of Vawsum.
Limitation of Liability: In no event will Vawsum, its affiliates, licensors, or service providers, or its or their respective officers, directors, employees, agents, licensors, suppliers, successors, assigns, content providers, or other contractors be liable for any damages, including but not limited to, direct, indirect, incidental, special, consequential, or exemplary damages, arising from the user’s use of the app or the inability to use the app, including without limitation any loss of profits, loss of data, or other intangible losses. Vawsum will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if Vawsum has been advised of the possibility of such damages.
Indemnification: The user agrees to indemnify, defend, and hold harmless Vawsum, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, agents, licensors, suppliers, successors, assigns, content providers, or other contractors from and against any and all claims, demands, losses, liabilities, damages, fines, penalties, or expenses (including reasonable attorneys’ fees) arising from the user’s use of the app, user content submitted by the user, or any breach by the user of these terms and conditions.
Modification of Terms and Conditions: Vawsum reserves the right, at its sole discretion, to modify these terms and conditions at any time. The user agrees to be bound by any modifications to these terms and conditions when using the app after such modifications are posted.
Termination: Vawsum may, in its sole discretion, at any time terminate or suspend all or a portion of the app, or the user’s use of all or a portion of the app, with or without notice and with or without cause.
User Representations: The user represents and warrants that (a) the user is at least 18 years of age or the age of majority in the user’s jurisdiction, (b) the user has the right, authority, and capacity to enter into these terms and conditions and to abide by all of the terms and conditions set forth herein, (c) the user has the right to use and to grant the rights and licenses granted in these terms and conditions, and (d) all information submitted by the user is accurate, complete, and not misleading.
Intellectual Property Rights: The content and information on the app, as well as the infrastructure used to provide such content and information, is proprietary to Vawsum or its licensors. The user agrees not to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, content, software, products, or services obtained from or through the app.
Disclaimer of Warranty: The app is provided on an “as is” and “as available” basis. Vawsum makes no representations or warranties of any kind, express or implied, as to the operation of the app or the information, content, materials, or products included on the app. The user agrees that the user’s use of the app is at the user’s sole risk.
Limitation of Liability: Vawsum shall not be liable for any damages of any kind arising from the use of the app, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
No Partnership or Agency: The user agrees that no joint venture, partnership, employment, or agency relationship exists between the user and Vawsum as a result of these terms and conditions or use of the app.
Entire Agreement: These terms and conditions constitute the entire agreement between the user and Vawsum with respect to the use of the app. If any provision of these terms and conditions is found to be invalid or unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
User Feedback: The user acknowledges that any feedback, suggestions, or ideas submitted to School/Vawsum in connection with the use of the app shall be owned by Vawsum and may be used for any purpose, including but not limited to, developing, manufacturing, and marketing products, and creating, modifying or improving the app.
Trademark Information: The trademarks, logos, and service marks (collectively the “Trademarks”) displayed on the app are registered and unregistered Trademarks of Vawsum and others. Nothing contained on the app should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the app without the written permission of Vawsum or such third party that may own the Trademarks displayed on the app. The user is strictly prohibited from using any Trademarks displayed on the app without the written permission of Vawsum or such third party that may own the Trademarks displayed on the app.
Severability: If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No Assignment: The user may not assign or transfer any of its rights or obligations under these terms and conditions without the prior written consent of School/Vawsum, and any attempt to do so without such consent shall be null and void. School/Vawsum may assign its rights and obligations under these terms and conditions without the user’s prior written consent.
